Seminar to focus on key legal documents for small businesses

"Critical Legal Documents for Small Businesses" will be the topic of a seminar on Tuesday, Oct. 11, offered by the Illinois Small Business Development Center in Elgin. Presenting will be attorney Steven Migala, a partner at Lavelle Law, and attorney Heather Glaser, an associate at the same firm.

Admission is free. A continental breakfast will be provided beginning at 8 a.m. at Elgin Community College's University and Business Center (Building E), 1700 Spartan Drive. The presentation will begin at 8:15 a.m. and run until 10 a.m. with a question-and-answer period included.

The seminar will cover key legal areas that a small business must focus on to be successful, particularly contracts between a business and its constituents such as owners, landlords, vendors and customers.

"Many businesses experience the same issues upon startup - developing the contractual relationships between it and its owners, landlords, vendors and customers," Migala said. "Negotiating these issues early sets the stage for a company to be successful. Shareholder or operating agreements among owners and commercial leases of real estate are two examples of key documents that businesses who are tenants with multiple owners must adequately prepare and execute."

Glaser noted that "Basic sales and service agreements with vendors and customers offer clarity and protection as a business grows. We'll explain the issues surrounding them for new and growing businesses."
